Terms & privacy

Terms of Service

Effective October 27, 2026 · Limitless La Vie Corp. (OfferLnz)

Operated by: Limitless La Vie Corp., a Delaware nonprofit corporation

01Acceptance of Terms

These Terms of Service ("Terms") govern access to and use of the OfferLnz website, applications, dashboards, marketplace, property tools, communications, integrations, and related services (collectively, the "Platform").

The Platform is owned and operated by Limitless La Vie Corp., a Delaware nonprofit corporation ("Limitless," "OfferLnz," "we," "us," or "our"). OfferLnz is the public-facing name of the Platform and is not a separate legal entity.

By creating an account, affirmatively accepting these Terms, or otherwise accessing and using the Platform in circumstances establishing legally effective acceptance, you agree to these Terms and acknowledge our Privacy Policy.

You must be at least 18 years old and legally capable of entering binding agreements.

If you accept these Terms on behalf of a company, investment entity, trust, or other organization, you represent that you have the authority to bind that organization. Where validly accepted on an organization's behalf, "you" includes both the individual and the organization.

A real estate professional's individual participation does not, by itself, bind or establish an agreement with the professional's affiliated brokerage.

We may maintain electronic records of your acceptance, including the applicable agreement version, account, date, time, and related technical information.

If you do not agree to these Terms, you must not use the Platform.

02Accounts, Eligibility, and Verification

You agree to provide accurate, current, and complete account information and maintain the security of your login credentials.

You are responsible for activity conducted through your account, subject to applicable law, and must promptly notify OfferLnz of suspected unauthorized access.

You may not:

  • Create fraudulent, duplicate, or misleading accounts.
  • Impersonate another individual or organization.
  • Share access credentials with unauthorized persons.
  • Circumvent role-based access or verification controls.
  • Use another participant's account without authorization.
  • Create accounts to evade payment obligations, restrictions, suspension, or termination.

Organization accounts may be accessed only by authorized individuals acting within their assigned permissions.

OfferLnz may request identification, organizational information, professional licensing, brokerage affiliation, ownership records, proof of funds, acquisition history, or other relevant verification.

Verification is a marketplace safeguard, not an endorsement or guarantee of a participant's identity, qualifications, licensing, financial capacity, legal compliance, or future performance.

We reserve the right to refuse or restrict access when reasonably necessary to protect Platform integrity, participant safety, or legal compliance.

03Platform Services and Limitations

OfferLnz provides technology, marketplace access, property intelligence, and decision-support tools intended to help participants evaluate real estate opportunities and make informed decisions.

Depending on the user, market, and available features, the Platform may provide:

  • Property information and organization
  • Market data and preliminary property analysis
  • Buyer acquisition criteria and property matching
  • Property submissions and offer requests
  • Communication and transaction workflows
  • Agent and investor participation programs
  • Education, training, and marketplace resources
  • Third-party integrations and related services

Our broader mission is to support informed real estate decisions that help keep housing productive and contribute to healthier communities.

OfferLnz does not guarantee any minimum number of properties, buyers, sellers, leads, offers, matches, transactions, commissions, investment outcomes, or closings.

Platform features and access may vary according to participant role, subscription, program eligibility, verification, jurisdiction, transaction stage, and operational capacity.

Unless expressly established in a separate agreement, participation is nonexclusive and does not create protected territories, exclusive customer relationships, or guaranteed sources of business.

04Program Guidelines and Supplemental Agreements

Certain Platform activities are subject to additional agreements, including:

  • Agent Program Guidelines
  • Investor Program Guide & Participation Terms
  • Subscription and membership terms
  • Platform fee agreements or authorizations
  • Special program, certification, or pilot terms
  • Property access or other service-specific agreements

Collectively, these are referred to as "Supplemental Agreements."

The Agent Program Guidelines establish requirements applicable to participating licensed real estate professionals, including program eligibility, agency, compensation, participant relationships, confidentiality, and applicable fees.

The Investor Program Guide & Participation Terms establish requirements applicable to participating investors and acquisition entities, including acquisition criteria, response expectations, representation, transaction fees, attribution, confidentiality, and non-circumvention.

Applicable Supplemental Agreements are incorporated into the participant's agreement with Limitless when affirmatively accepted.

Participants acting in multiple capacities may be subject to more than one Supplemental Agreement.

Agreement hierarchy

These Terms govern general Platform access, conduct, rights, and responsibilities.

Where provisions conflict:

  1. An accepted Platform fee agreement or authorization controls the specific payment obligation it addresses.
  2. Other accepted Supplemental Agreements control the programs, roles, and services they address.
  3. These Terms govern general Platform use and matters not specifically addressed by an applicable Supplemental Agreement.

Separately executed purchase agreements, agency agreements, and other transaction documents control the rights and obligations of their respective parties concerning the transactions they address.

A transaction agreement between third parties does not modify, waive, or extinguish an independently accepted obligation owed to Limitless unless Limitless expressly agrees in writing or applicable law requires otherwise.

No employee, contractor, participant, or automated assistant may modify or waive these Terms or a Supplemental Agreement on behalf of Limitless without authorization from an appropriate Limitless representative.

05Independent Participants and Professional Relationships

OfferLnz is a technology and decision-support marketplace, not a real estate brokerage.

Neither OfferLnz nor Limitless acts as a real estate broker, salesperson, agent, or fiduciary for a participant merely through ordinary Platform use.

Licensed real estate professionals participate independently through their respective brokerages and remain responsible for applicable licensing, supervision, agency relationships, compensation agreements, disclosures, advertising, and professional obligations.

Individual Platform participation does not establish brokerage affiliation with Limitless or constitute approval by the participant's brokerage.

When brokerage services are required or selected, the applicable relationship must be established through appropriate agreements with an authorized brokerage and licensed professional.

OfferLnz prohibits the same individual licensee from representing both the buyer and seller in a Platform-facilitated transaction.

Separate licensees affiliated with the same brokerage remain subject to applicable laws, brokerage policies, agency disclosures, and Program Guidelines.

Participation does not create an employment, partnership, joint venture, franchise, or fiduciary relationship with Limitless.

OfferLnz does not provide legal, tax, appraisal, inspection, engineering, lending, title, escrow, insurance, or other regulated professional services through ordinary Platform use.

Participants should obtain independent professional advice where appropriate.

06Limitless Participation as a Principal

Limitless or an affiliated entity may, but is not required to, independently participate in real estate transactions as a buyer, seller, contract holder, or other principal.

Such participation may include reviewing properties, making offers, acquiring property, entering purchase agreements, or otherwise exercising lawful contractual rights.

When Limitless or an affiliate participates as a principal, its role will be disclosed in the applicable transaction documentation.

Platform ownership does not establish a fiduciary or agency relationship with another participant.

The applicable transaction documents control any resulting principal transaction obligations, including price, contingencies, inspections, closing requirements, and lawful assignment rights.

Nothing in these Terms obligates Limitless to acquire, finance, review, or participate in any transaction.

07Property Submissions and Participant Responsibilities

Participants are responsible for the accuracy, authority, and legality of information, documents, and instructions they provide.

By submitting a property, document, acquisition criteria, offer, or other information, you represent that:

  • Information provided is accurate to the best of your knowledge.
  • You possess the necessary rights, consents, and authority.
  • Your ownership, contractual interest, professional licensing, and representation status are accurately described.
  • Submitted documents are genuine and not materially misleading.
  • Your activity complies with applicable laws, contracts, brokerage policies, and professional obligations.

Property submission does not independently establish ownership, agency, or authority to market or sell a property.

Participants must obtain any authorization legally required for property marketing, access, communications, or transaction activities.

OfferLnz may identify potential opportunities through public records, licensed data sources, and other authorized information without representing that an owner has requested an offer or authorized a sale.

Buyers remain responsible for accurate representations concerning acquisition entities, authority, financing, capital availability, and ability to perform.

Participants offering contractual interests must possess valid rights and comply with applicable licensing, disclosure, advertising, and assignment requirements.

OfferLnz may reject submissions or restrict activities presenting material concerns involving fraud, misrepresentation, unauthorized assignments, consumer protection, or other legal risks.

08Property Information and Decision-Support Outputs

Platform information may originate from participants, public records, third-party providers, buyer criteria, statistical models, automated systems, or human analysis.

Properties may be identified or classified through preliminary information, available market data, condition context, pricing inputs, or buyer demand.

These designations do not establish that OfferLnz has inspected the property, verified every statement, completed title review, confirmed legal compliance, or performed comprehensive underwriting.

Estimated Offer Ranges, valuations, repair estimates, buyer counts, demand indicators, matches, confidence labels, and similar outputs are informational and nonbinding.

A match indicates only that available information satisfied criteria evaluated by the Platform at that time.

A match or estimate does not guarantee buyer interest, available capital, eligibility, property condition, market value, investment suitability, an offer, or closing.

An estimated range is not an appraisal, commitment, or offer to purchase.

Participants must independently verify relevant information before making legal, financial, investment, pricing, or transaction decisions.

09Offers and Transactions

OfferLnz may facilitate offer requests, communication, preliminary offers, comparisons, document delivery, and transaction tracking.

Buyers and sellers remain responsible for their decisions, negotiations, contractual commitments, and performance.

Platform statuses, expressions of interest, preliminary counters, acceptance indicators, and other ordinary workflow communications do not independently establish binding real estate contracts.

Binding purchase and sale obligations arise through properly executed and delivered transaction documents.

OfferLnz does not guarantee offer acceptance, financing, property condition, participant performance, transaction timing, or successful closing.

Transaction-specific terms, contingencies, inspections, deposits, assignment rights, and remedies are governed by the applicable transaction documents.

10Platform Fees, Subscriptions, and Incentives

Certain Platform services, subscriptions, programs, or transactions may require payment.

Applicable fees, responsible parties, services, payment conditions, and material limitations are established through accepted Program Guidelines, checkout terms, order forms, or other fee agreements.

A participant's acceptance of an applicable Supplemental Agreement may establish a binding payment obligation when that agreement sufficiently identifies the payer, applicable fee, and conditions triggering payment.

A separate transaction-specific fee agreement is not automatically required when an accepted Supplemental Agreement already establishes the applicable obligation.

Where a transaction fee applies, OfferLnz may identify the applicable fee in the opportunity or transaction workflow for transparency and recordkeeping.

No participant becomes responsible for another person's or entity's Platform fee solely because that person or entity uses OfferLnz.

Transaction-specific fees may depend on the services provided, applicable program, participant role, representation arrangement, or transaction structure.

Fees payable at closing become due according to the conditions established in the applicable accepted agreement.

OfferLnz fees are intended to compensate Limitless for identified technology, information, marketplace, workflow, and related Platform services. Their legal characterization and permissibility remain subject to applicable law.

These fees are not intended to constitute brokerage commissions or unlawful real estate referral compensation.

Brokerage commissions and lawful broker-to-broker referrals are separately governed by the applicable professional agreements and legal requirements.

Subscriptions

Paid subscriptions may include minimum commitments, automatic renewals, and other conditions disclosed and accepted before purchase.

Cancellation, renewal, refund, and remaining payment obligations are governed by the applicable subscription terms and law.

Participants may cancel through available account controls or by contacting OfferLnz.

We may change future pricing or services with notice required by law.

Incentive programs

Affiliate, promotional, participation, and community-impact incentives are governed by their respective program terms.

Eligibility, payment conditions, recipients, and restrictions must be satisfied before an incentive becomes payable.

No incentive is guaranteed solely through Platform participation, and no program authorizes payments prohibited by applicable law.

11Confidentiality and Restricted Information

Participants may receive access to nonpublic information concerning properties, owners, agents, buyers, acquisition criteria, pricing, underwriting, offers, communications, or transactions.

Restricted information may be used only for an authorized Platform workflow or opportunity.

Participants may not sell, harvest, redistribute, republish, disclose, or commercially exploit restricted information without authorization.

Information may be shared with authorized personnel, lenders, attorneys, inspectors, title providers, settlement professionals, and advisers when reasonably necessary for the authorized purpose and subject to appropriate confidentiality obligations.

Buyer acquisition criteria and private buy boxes may be accessed only by participants authorized to receive them.

Access to information through one Platform role does not create permission to use that information in another role or unrelated business activity.

Participants may not use restricted information to develop unrelated lead lists, competing databases, external acquisition pipelines, or unauthorized solicitation campaigns.

Restrictions do not apply to information a participant can demonstrate was lawfully known without confidentiality obligations, independently developed, lawfully obtained from another source, or required to be disclosed by law.

Confidentiality obligations survive suspension or termination.

12Non-Circumvention and Protected Relationships

OfferLnz facilitates relationships among buyers, sellers, agents, and other authorized participants.

Participants may not use protected introductions, property opportunities, buyer relationships, agent relationships, confidential information, or other restricted Platform resources to intentionally evade binding obligations.

Prohibited circumvention may include:

  • Avoiding agreed Platform fees through unauthorized transaction diversion.
  • Bypassing existing agency or contractual rights.
  • Concealing or misrepresenting the source of a protected opportunity.
  • Using affiliated entities, nominees, substituted purchasers, or intermediaries to evade applicable obligations.
  • Misusing restricted Platform relationships or information to redirect opportunities into unauthorized alternative channels.

The applicable Supplemental Agreement determines which introductions, relationships, transactions, attribution periods, exclusions, and payment obligations are protected.

Where an accepted Supplemental Agreement establishes a protected period, applicable obligations may survive account closure or apply to transactions completed outside the Platform.

OfferLnz does not claim ownership of participants, properties, independently established relationships, or business developed without protected Platform information.

These provisions do not prohibit lawful independent business, legitimate competition, authorized direct communication, or activity required by law, contract, or fiduciary duty.

General property visibility, public records, or inclusion in a marketplace database does not independently establish transaction attribution or a fee obligation.

OfferLnz may request reasonably relevant and appropriately limited records to verify protected transactions and enforce accepted agreements.

13Property Access and Safety

Participants must obtain lawful authorization before entering, inspecting, photographing, or conducting activities at a property.

Participants are responsible for complying with applicable laws, access instructions, occupancy restrictions, brokerage requirements, and reasonable safety precautions.

Trespassing, property damage, deceptive access requests, unauthorized work, and unsafe conduct are prohibited.

OfferLnz does not control properties or guarantee their condition, security, occupancy, accessibility, or safety.

Participants remain responsible for their own conduct and the professionals they engage.

14User Content and Information Rights

Participants retain ownership of content they lawfully submit.

By submitting content, participants grant Limitless a nonexclusive, worldwide, royalty-free license to store, process, reproduce, organize, analyze, display, and distribute that content as reasonably necessary to:

  • Operate and secure the Platform.
  • Perform authorized marketplace activities.
  • Provide requested information and services.
  • Distribute opportunities to authorized recipients.
  • Support communications and transaction workflows.
  • Maintain records and resolve disputes.
  • Prevent fraud and comply with applicable law.

This license does not transfer ownership of participant content or authorize Limitless to sell identifiable private seller, buyer, or transaction information as an unrelated standalone data product.

Limitless may use aggregated or appropriately deidentified information for legitimate analytics, service improvements, marketplace operations, and mission reporting consistent with applicable law and its Privacy Policy.

Participants may not submit content that infringes another person's intellectual property, privacy, contractual, or other legal rights.

Content may be retained following termination as reasonably necessary for legal compliance, legitimate business records, disputes, and applicable retention obligations.

15Intellectual Property and Connected Technology

Limitless owns or licenses the OfferLnz Platform, including its software, workflows, designs, documentation, databases, scoring and matching systems, educational content, and other proprietary technology, subject to applicable participant and third-party rights.

Authorized participants receive a limited, revocable, nonexclusive, nontransferable right to use the Platform for its intended purpose.

Participants may not reverse engineer, reproduce, resell, sublicense, or commercially exploit Platform technology or restricted content without authorization.

Suggestions and feedback may be used by Limitless without compensation or any obligation to implement them.

OfferLnz may provide authorized APIs, integrations, automated systems, and artificial-intelligence-assisted tools.

These features remain subject to applicable access permissions, confidentiality requirements, and integration rules.

Participants may not use external tools to bypass Platform restrictions, obtain unauthorized information, or train external models using restricted marketplace data without authorization.

Automated outputs may be incomplete, inaccurate, biased, or outdated and must be independently evaluated.

No automated system or connected assistant may modify these Terms, waive Platform requirements, establish agency relationships, bind Limitless, or execute real estate transaction documents without an expressly authorized process.

16Privacy and Communications

The OfferLnz Privacy Policy and applicable notices explain how Limitless collects, uses, shares, retains, and protects personal information.

Information may be shared with authorized buyers, agents, professional advisers, service providers, and other relevant participants when necessary to perform requested services or as otherwise permitted by law and applicable privacy notices.

Participants submitting another person's contact information represent that they possess the lawful authority and permissions necessary for the intended use and communications.

OfferLnz may send service-related communications concerning accounts, property submissions, offers, transactions, billing, security, and program administration.

Marketing communications, automated calls, and promotional text messages are subject to applicable consent and opt-out requirements.

Consent to marketing is not a condition of obtaining services where prohibited by law.

Platform participation does not independently authorize other participants to send unrelated marketing communications.

Independent third parties may have their own privacy policies and obligations.

17Prohibited Conduct

Participants may not:

  • Engage in fraudulent, deceptive, or unlawful activity.
  • Misrepresent identity, authority, ownership, licensing, agency, or financial qualifications.
  • Violate fair-housing, civil-rights, consumer-protection, or other applicable laws.
  • Submit fraudulent, collusive, misleading, or manipulative offers.
  • Manipulate pricing, matching, buyer counts, scores, reviews, or marketplace performance records.
  • Misuse confidential information or contact participants without authorization.
  • Scrape, harvest, export, or redistribute restricted Platform information.
  • Circumvent authentication, security, permission, representation, or payment controls.
  • Introduce malware, phishing, malicious links, or unauthorized automation.
  • Harass, threaten, discriminate against, or unlawfully surveil participants.
  • Divert protected opportunities or relationships contrary to accepted agreements.
  • Assist another person in violating these Terms or applicable Supplemental Agreements.

OfferLnz may investigate suspected violations and take reasonable protective or enforcement action.

18Marketplace Records, Enforcement, and Termination

OfferLnz may maintain operational records concerning property submissions, matches, responses, offers, transaction status, payment activity, participant performance, complaints, and suspected violations.

These records may support Platform operations, verification, marketplace quality, dispute resolution, security, and enforcement.

Operational scores, labels, and classifications do not constitute professional endorsements, appraisals, credit scores, or guarantees.

OfferLnz may restrict, suspend, or terminate participation when reasonably necessary to protect participants, confidential information, transactions, Platform integrity, safety, or legal compliance.

Available actions may include removing content, restricting features, pausing activity, requesting verification, preserving relevant records, or blocking unauthorized access.

Limitless has no general obligation to monitor every participant, property, communication, or transaction.

Participants may discontinue Platform use at any time, subject to existing contractual commitments.

Termination does not eliminate previously accrued fees, transaction obligations, confidentiality restrictions, applicable non-circumvention protections, or other surviving responsibilities.

Participants remain responsible for retaining records required by their own legal, professional, or contractual obligations.

20Disclaimers and Independent Participant Disputes

To the maximum extent permitted by law, the Platform is provided "as is" and "as available."

Limitless disclaims express, implied, and statutory warranties, including merchantability, fitness for a particular purpose, accuracy, availability, security, title, and noninfringement.

We do not guarantee:

  • Continuous or error-free Platform availability.
  • Accurate or complete property information.
  • Buyer qualifications, interest, or performance.
  • Seller representations or property condition.
  • Successful transactions or investment results.
  • Performance of independent professionals or third-party providers.

Independent buyers, sellers, agents, brokerages, and service providers are responsible for their respective conduct, representations, and contractual obligations.

OfferLnz does not supervise independent participants merely because they use the Platform.

To the extent permitted by law, participants release Limitless from claims arising solely from disputes or wrongdoing between independent participants, excluding claims attributable to Limitless's own actionable conduct or obligations that cannot legally be waived.

Nothing in these Terms waives consumer protections or other rights that cannot lawfully be excluded.

21Limitation of Liability

To the maximum extent permitted by law, Limitless and its directors, officers, employees, volunteers, contractors, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, expected transactions, business opportunities, data, or goodwill.

These limitations include losses relating to participant conduct, property condition, inaccurate information, unsuccessful transactions, third-party services, unauthorized accounts, or permitted Platform enforcement.

To the maximum extent permitted by law, Limitless's aggregate liability arising from or relating to the Platform or these Terms will not exceed the greater of:

  • $100; or
  • The amount paid directly by the claimant to Limitless for Platform services during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law or to liability that cannot lawfully be limited.

22Indemnification

To the extent permitted by law, participants agree to defend, indemnify, and hold harmless Limitless and its directors, officers, employees, volunteers, contractors, and affiliates from third-party claims, losses, liabilities, damages, judgments, penalties, and reasonable legal expenses arising from:

  • Unlawful or unauthorized Platform use.
  • False, misleading, unauthorized, or infringing submissions.
  • Violations of applicable laws or third-party rights.
  • Professional services, agency relationships, or transaction activities.
  • Property access, safety violations, or unauthorized work.
  • Unauthorized communications or misuse of confidential information.
  • Circumvention or other material violations of these Terms or Supplemental Agreements.

This provision does not require participants to indemnify Limitless for its own unlawful conduct where prohibited by applicable law.

Limitless will provide reasonable notice of covered claims and may control the defense and settlement, subject to applicable law.

Participants agree to reasonably cooperate and may not settle claims in a manner that imposes obligations, admissions, or restrictions on Limitless without its written consent.

23Governing Law and Dispute Resolution

These Terms are governed by Delaware law, without regard to conflict-of-law principles, except where mandatory law requires otherwise.

Informal resolution

Before initiating arbitration or litigation, the parties agree to attempt good-faith informal resolution.

Written notice must identify the claimant, relevant facts, nature of the dispute, and requested relief.

Notices may be delivered to info@lavie.properties or the mailing address in Section 24.

The receiving party will have 30 days to respond, except where immediate action is reasonably necessary to preserve legal rights.

Individual arbitration

Except for excluded claims, disputes arising from these Terms, Platform access, accounts, paid services, or OfferLnz communications will be resolved through final and binding individual arbitration administered by the American Arbitration Association ("AAA").

The Federal Arbitration Act governs the arbitration agreement.

The applicable AAA Consumer Arbitration Rules or Commercial Arbitration Rules will apply based on the nature of the dispute and the participants, together with any applicable supplementary rules.

If AAA is unavailable, the parties will select another nationally recognized provider or seek the appointment of one through a court of competent jurisdiction.

Eligible individual small-claims matters may proceed in small-claims court.

Either party may request temporary or emergency injunctive relief in court to protect confidential information, intellectual property, account security, or Platform integrity.

A separately executed transaction agreement's dispute provisions control claims governed by that agreement among its respective parties.

Class-action waiver

To the extent permitted by law, claims must be brought in an individual capacity rather than as a class, collective, or representative action.

Neither party may seek class-wide arbitration or relief on behalf of nonparties, except where applicable law requires otherwise.

If a court determines that the waiver is unenforceable for a particular claim or remedy, that portion will proceed in the appropriate court while remaining claims continue under arbitration to the maximum extent permitted by law.

Arbitration procedures and costs

Arbitration may proceed through videoconference, telephone, document submission, or another method allowed by the applicable rules.

Fees will be allocated under the applicable rules and governing law.

Limitless will pay amounts required for this arbitration agreement to be enforceable.

Each party will otherwise bear its own legal expenses unless awarded under applicable law or an enforceable agreement.

Arbitration opt-out

Participants may opt out of this arbitration agreement within 30 days after first accepting these Terms.

Notice must include:

  • Full name
  • Account email address
  • Mailing address
  • An unequivocal statement declining arbitration under these Terms

Notice may be delivered to info@lavie.properties or the mailing address in Section 24.

Opting out does not affect other provisions of these Terms or independently accepted dispute provisions in separate agreements.

Court proceedings

For claims not subject to arbitration, the parties agree to venue in the appropriate state or federal courts in New Castle County, Delaware, except where mandatory law requires otherwise.

The parties waive trial by jury to the extent legally permitted.

This section survives termination and completion of Platform-related transactions.

24Changes, General Provisions, and Contact

Changes to the Platform and Terms

Limitless may modify Platform functionality, features, eligibility requirements, participation standards, or services.

We may revise these Terms periodically and will identify the effective date of each version.

Material changes will be communicated as required by law.

Changes apply prospectively. Continued use following the effective date constitutes acceptance only to the extent legally permitted.

Changes affecting existing payment obligations, protected transactions, attribution rights, or other contractual commitments remain subject to the applicable accepted agreements and governing law.

Participants who decline revised Terms may discontinue Platform use and cancel eligible services according to their applicable agreements.

General provisions

These Terms and applicable accepted Supplemental Agreements constitute the agreement governing the participant's Platform relationship with Limitless.

If a provision is unenforceable, the remaining provisions remain effective to the maximum extent permitted by law.

Failure to enforce a provision does not waive future enforcement.

Participants may not assign these Terms without Limitless's written consent.

Limitless may assign these Terms in connection with a lawful merger, reorganization, asset transfer, or successor operator, subject to applicable law.

No third-party beneficiary rights arise except for persons expressly protected under these Terms.

Limitless is not responsible for delays or failures caused by circumstances beyond its reasonable control, including natural disasters, utility failures, telecommunications outages, cyberattacks, government actions, or similar disruptions.

Provisions concerning accrued payments, confidentiality, non-circumvention, intellectual property, disclaimers, liability, indemnification, dispute resolution, and other obligations intended to survive will remain effective after termination.

Electronic acceptance, communications, and records may satisfy applicable writing and signature requirements to the extent permitted by law.
